Terms of Trust

1. About OutLoud
OutLoud is operated by Phakama Digital (Pty) Ltd ("we", "us", "our"), a South African company. The platform connects micro-influencers and UGC creators with brands for campaign discovery, AI-assisted matchmaking, pitching, messaging, agreements, and workflow management.
OutLoud does not hold campaign funds or act as a payment intermediary between brands and creators. Subscription fees for platform features are processed separately via Paystack.
2. Acceptance of Terms
By creating an account or using OutLoud, you confirm that you are at least 18 years old and agree to these Terms of Trust and our Privacy Policy. Creators should also read our Creator Terms; brands should read our Brand Terms. If you do not agree, do not use the platform. We may update these terms from time to time; continued use after material changes constitutes acceptance.
3. Account Responsibilities
- You must provide accurate registration information and keep your credentials secure.
- Creators are responsible for the authenticity of connected social accounts, media kits, portfolio items, rate cards, and pitch content.
- Brands are responsible for accurate campaign briefs, lawful marketing practices, timely draft reviews, and direct payments to creators as agreed.
- Brand team members act on behalf of their organisation and must comply with assigned role permissions.
- You must not share accounts or misrepresent your identity, reach, or engagement metrics.
4. Payments & No Escrow
Subscription fees for OutLoud (Creator Pro, brand plans, and related platform features) are processed via Paystack. Campaign compensation is paid directly from brand to creator using the agreed payment method (bank transfer, e-wallet, mobile money, PayPal, or other). OutLoud generates invoices and agreements to support the workflow but never receives, holds, or disburses campaign funds.
5. AI-Assisted Features & Content
OutLoud provides AI-assisted tools — including campaign drafting, creator pitch generation, alignment scoring, platform recommendations, and brand matchmaker messages — powered by third-party AI services. AI output is provided as a drafting aid only.
- Human review required: You must review, edit, and approve all AI-generated text before sending pitches, publishing campaigns, or making collaboration decisions.
- No guarantee of accuracy: We do not warrant that AI output, alignment scores, or matchmaking recommendations are accurate, complete, lawful, or suitable for your campaign.
- Your responsibility: Content you submit after using AI tools is your responsibility. Do not send misleading pitches, false claims, or content that infringes third-party rights.
- Disclosure: Where AI substantially drafts a pitch or recommendation you send to another user, you should ensure the final message truthfully represents your intent and complies with advertising and consumer protection standards.
- No automated binding decisions: Alignment scores and rankings do not create contracts. Brands and creators remain free to accept or decline collaborations.
6. Intellectual Property
- Your content: You retain ownership of original content you create, including pitches, intro videos, uploaded drafts, and campaign briefs. You grant OutLoud a limited licence to host, display, and process that content solely to operate the platform.
- AI-assisted content: You are responsible for ensuring you have the right to use and publish AI-assisted output. OutLoud does not claim ownership of your final pitches or campaigns.
- Platform IP:OutLoud's brand, software, design, and proprietary matching logic remain our property. You may not copy, scrape, or reverse-engineer the platform.
- Collaboration deliverables: Ownership and usage rights for sponsored content between a brand and creator are governed by their agreement, not by OutLoud unless expressly stated in a signed on-platform agreement.
7. Influencer & Advertising Compliance
Creators and brands using OutLoud must comply with applicable South African advertising and consumer protection law, including honest representation of products, services, and sponsorship relationships. Sponsored or gifted content should be clearly disclosed to audiences in line with industry standards (for example using clear labels such as #ad, #sponsored, or Paid Partnership where appropriate).
OutLoud does not provide legal advice on campaign compliance. You are responsible for ensuring your content meets ASA, platform-specific, and sector-specific requirements.
8. Social Connections & Media Kits
When you connect Meta (Facebook/Instagram), TikTok, or YouTube, you authorise OutLoud to access read-only metrics via OAuth for the purpose of building your media kit and matchmaking profile. We cannot post on your behalf. You may disconnect accounts at any time from your profile settings.
Public media kits display metrics and profile information you choose to showcase. Do not connect accounts or publish metrics you know to be false or misleading.
9. Reliability & Ratings
Both parties may rate each other after completed campaigns. Reliability scores reflect payout speed (brands) and deadline adherence (creators). Scores are indicative and based on platform activity. We reserve the right to investigate abuse of the rating system, fraudulent metrics, or coordinated manipulation.
10. Acceptable Use
You may not use OutLoud to:
- Publish false engagement metrics or misrepresent audience reach.
- Spam pitches, harass users, or discriminate unlawfully.
- Violate POPIA or process another person's data without authority.
- Infringe intellectual property or publish unlawful content.
- Circumvent paywalls, scrape data, or interfere with platform security.
- Use AI tools to generate deceptive, defamatory, or non-compliant marketing content.
We may suspend or terminate accounts that breach these rules, with or without notice depending on severity.
11. Account Suspension, Termination & Data
You may stop using OutLoud at any time. You may request account deletion and erasure of personal information as described in our Privacy Policy. We may suspend or terminate accounts that violate these terms, pose security risks, or are required by law.
Termination does not automatically delete records we must retain for legal, tax, or dispute purposes, or messages and agreements already shared with other users in the course of a collaboration.
12. Data Protection
Our processing of personal information is governed by our Privacy Policy and POPIA. By using OutLoud you acknowledge that you have read that policy. Brands and creators are independently responsible for personal information they collect from each other off-platform or through campaign deliverables.
13. Limitation of Liability
OutLoud is provided "as is" and "as available". To the fullest extent permitted by South African law, Phakama Digital (Pty) Ltd is not liable for disputes between brands and creators regarding payment, content quality, AI-generated suggestions, off-platform conduct, or campaign outcomes. Our total liability to you for platform-related claims is limited to the fees you paid to OutLoud in the twelve months preceding the claim, except where liability cannot be limited by law.
14. Governing Law & Disputes
These Terms of Trust are governed by the laws of the Republic of South Africa. Parties agree to attempt good-faith resolution of disputes before pursuing formal legal remedies. Subject to mandatory consumer protections, the courts of South Africa shall have jurisdiction.
